SOFTWARE END USER LICENSE AGREEMENT

IMPORTANT: READ BEFORE USING: THIS DOCUMENT IS A LEGAL AGREEMENT BETWEEN YOU AS THE LICENSEE, AND STRUWARE, LLC (STRUWARE). INSTALLING OR USING THE SOFTWARE PRODUCT CONSTITUTES ACCEPTANCE OF THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, PROMPTLY CONTACT STRUWARE FOR A FULL REFUND.

1. CONFIDENTIALITY. This computer program is a proprietary trade secret of STRUWARE. Possession and use of this program shall be strictly in accordance with this license agreement and receipt or possession does not convey any rights to divulge, reproduce, or allow others to use this program without specific written authorization of STRUWARE.

2. GRANT OF LICENSE. In consideration of payment of the license fee, which is part of the price paid for this product, STRUWARE grants to the LICENSEE a nonexclusive, nontransferable license, without right to sublicense, to use this copy of the enclosed software by one individual. If a site license was purchased, the software may be used on multiple computers by multiple individuals at a single location. If a multiple site license was purchased, the software may be used on multiple computers by multiple individuals at all locations of a single firm. STRUWARE reserves all rights not expressly granted to LICENSEE.

3. OWNERSHIP OF SOFTWARE. Title to, ownership of, and all rights and interests in the software and software documentation, and all copies thereof, remain at all times vested in STRUWARE. The license granted by this Agreement, and your payment of the license fee, gives you the right to use the software in accordance with the terms of this Agreement. This license is not a sale of the original software or any copy.

4. COPY RESTRICTIONS. This software product and the accompanying written materials are protected by law. Unauthorized copying of the software product, including software that has been modified, merged, or included with other software, or other written materials is expressly forbidden. You may be held legally responsible for any copyright infringement that is caused or incurred by your failure and/or the failure of your employees to abide by the terms of this license. Subject to these restrictions, you may make one (1) archival copy of the software product solely for backup purposes as permitted by 17 U.S.C. § 117. You must reproduce and include this with the copy. This clause does not provide any rights beyond those provided by 17 U.S.C. § 117.

5. USE RESTRICTIONS. As the LICENSEE, you may physically transfer the software from one computer to another, provided that the software is used on only one computer at a time. You may not disclose, publish, translate, release, or distribute copies of the software or accompanying written materials to others. You may not modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the software. You may not modify, adapt, translate, or create derivative works based on the written materials without the prior written consent of STRUWARE.

6. TRANSFER RESTRICTIONS. This software is licensed to you, the LICENSEE, and may not be transferred to anyone without the prior written consent of STRUWARE. In no event may you transfer, assign, rent, lease, sell, or otherwise dispose of the software on a temporary basis except as expressly provided herein.

7. TERMINATION. This license is effective until terminated. This license will terminate automatically without notice from STRUWARE if you fail to comply with any provisions of this license. Upon termination you shall destroy all copies of the software, including modified copies, if any.

8. UPDATE POLICY. STRUWARE may create, from time to time, updated versions of the software product. STRUWARE will make available to LICENSEE all such updates, which are released within 90 days of LICENSEE’s purchase of this license. However, STRUWARE is not obligated to improve, upgrade, update, or fix problems in the Licensed Materials.

9. NO SUPPORT OBLIGATION. Licensor is not obligated to provide technical support or furnish any additional information for the Licensed Materials.

10. LIMITED WARRANTY. STRUWARE warrants to the original licensee that the disk(s) or electronic transfer on which the software is recorded is (are) free from defects and materials and workmanship under normal use and service for a period of 180 days from the date of delivery, as evidenced by a copy of the sales receipt. Further, STRUWARE hereby limits the duration of any implied warranty(ies) on the disk to the period stated above. Some states do not allow limitations on duration of an implied warranty, so the above limitation may not apply to you.

11. DISCLAIMER OF WARRANTY AND LIMITED WARRANTY. THE SOFTWARE AND ACCOMPANYING WRITTEN MATERIALS, INCLUDING INSTRUCTIONS FOR USE, ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. FURTHER, STRUWARE DOES NOT WARRANT, GUARANTEE, OR MAKE ANY REPRESENTATIONS REGARDING THE USE, OR THE RESULTS OF THE USE, OF THE SOFTWARE OR WRITTEN MATERIALS IN TERMS OF ACCURACY, RELIABILITY, CURRENTNESS, OR OTHERWISE. YOU ASSUME THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE SOFTWARE. IF THE SOFTWARE OR WRITTEN MATERIALS ARE DEFECTIVE, YOU, AND NOT STRUWARE, ASSUMES THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.

STRUWARE’S ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY AS TO THE DISK(S) WILL BE, AT STRUWARE’S OPTION, EITHER (A) RETURN OF THE PURCHASE PRICE OR (B) REPLACEMENT OF THE DISK THAT DOES NOT MEET STRUWARE’S LIMITED WARRANTY AND WHICH IS RETURNED TO STRUWARE WITH A COPY OF THE SALES RECEIPT. IF FAILURE OF THE DISK HAS RESULTED FROM ACCIDENT, ABUSE, OR MISAPPLICATION, STRUWARE SHALL HAVE NO RESPONSIBILITY TO REPLACE THE DISK OR REFUND THE PURCHASE PRICE. ANY REPLACEMENT DISK IS WARRANTED FOR THE REMAINDER OF THE ORIGINAL WARRANTY PERIOD OR THIRTY (30) DAYS, WHICHEVER IS LONGER.

EXCEPT AS STATED ABOVE FOR THE DISK(S), THE SOFTWARE AND THE DOCUMENTATION ARE PROVIDED WITHOUT WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY STRUWARE SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY, AND YOU MAY NOT RELY ON ANY SUCH INFORMATION OR ADVICE. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY HAVE OTHER RIGHTS, WHICH VARY FROM STATE TO STATE.

NEITHER STRUWARE NOR ANYONE ELSE WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION, OR DELIVERY OF THIS PRODUCT SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, AND THE LIKE (ARISING OUT OF THE USE OF OR INABILITY TO USE SUCH PRODUCTS), EVEN IF STRUWARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. MISCELLANEOUS. This Agreement expresses the entire agreement between Struware and the LICENSEE, and supersedes any prior communication, oral or written, relating to this software. The laws of the state of Florida govern this Agreement.

 

RESTRICTED RIGHTS LEGEND

The Software and documentation is commercial computer software as defined in DFARS 252.227.7014(a)(1). The Government shall have only those rights specified in this Agreement.
